Carol Buchanan

Carol handles Tax matters and has over 25 years’ experience of advising companies and management teams on a broad range of tax issues across a number of different sectors. She has extensive experience of advising on private equity, M&A and other corporate transactions, including reorganisations, share issues, share buybacks and SEIS/EIS. She has particular expertise in advising companies and senior executives on setting up and administering employee incentives, ranging from Enterprise Management Incentive options to more bespoke equity-based incentive arrangements, including growth shares. Carol works alongside Rosetta Tax to provide tax advice on real estate matters, including SDLT, VAT, capital allowances and issues affecting real estate funds (including REITs), and on financing and restructuring matters. She also advises on Corporate matters. Carol worked at Richards Butler (now Reed Smith) in the City, and Osborne Clarke and Bond Dickinson (now Womble Bond Dickinson) in Bristol, before joining Temple Bright in 2014. She is recognised as a notable practitioner for corporate tax in the South West by legal guide Chambers UK, which states: “Carol is appreciated by clients for her responsiveness and good client relationships.”

Experience

Relevant experience at Temple Bright and previous firms includes:

  • Acting for the owners of the UK’s largest independent planning and design consultancy on the tax aspects of the sale of their interests to an international engineering and project management business, including advice on the availability of Business Asset Disposal Relief.
  • Advising a group of individuals in a private equity fund on the sale of their shares for a mixture of cash, shares, options and loan notes where the tax issues were particularly complex.
  • Acting on the tax aspects of numerous corporate acquisitions and sales including in the IT, recruitment, tech, software, insurance broking, credit referencing, travel and catering sectors.
  • Acting for a private equity firm on the tax aspects of various investments, including the rollover of interests, employee incentives and EIS relief.
  • Acting for a number of private companies on the design, establishment and operation of share-based incentive arrangements (including Enterprise Management Incentive options and Long Term Incentive Plans) and cash-based bonus schemes.
  • Advising numerous senior executives on tax-efficient share incentive structures, including growth shares and Long Term Incentive Plans.
