Mergers and acquisitions

We advise on the sale and purchase of businesses in a wide range of sectors. Our clients include companies or individuals buying or selling shares or assets, including teams involved in management buy-outs (MBOs) and buy-ins (MBIs). We can get involved at any stage in the deal process: from heads of terms through due diligence, contractual negotiation and drafting, dealing with financing/security issues and completion. We can discuss with you what level of contractual protection is proportionate given the value of the deal. We aim to keep costs to a reasonable level while properly managing risk.

Private equity and venture capital

We advise on the full spectrum of private equity and venture capital work, from seed through Series A and later stage growth rounds, to growth equity investments and bolt-on acquisitions, through to large-scale portfolio company exits, including MBOs, MBIs and leveraged buy-outs via an auction sale process or otherwise. We act for sponsors, growth companies and management teams and seek to add value in the life cycle of the growth company from inception to exit. We have particular strength in the technology, media and telecommunications sectors. Our London office is located in the heart of Tech City.

Listed companies and markets

We advise issuers and financial advisers in capital markets transactions, including equity listings on the AIM market in London and on international exchanges. Members of our team have acted on IPOs, reverse takeovers, secondary offerings and private placements, as well as on debt offerings and general listed company advisory work.

General corporate

We advise on more general matters of corporate law arising in a wide range of contexts: start-ups, financing, restructuring, changes to ownership/management and ordinary trading. In particular we can assist with company formation, seed or other early stage equity fundraising (including angel investment), debt and security arrangements, share reorganisations and buybacks, joint ventures, shareholder agreements and disputes, corporate governance and directors’ duties. We also have extensive experience advising on partnerships, LLPs and the associated agreements and legislation.
