Jonathan advises on Corporate matters including mergers and acquisitions, joint ventures, reorganisations and buybacks, debt and equity fundraisings, shareholders agreements and corporate governance. He also deals with Commercial and Financial Services work. He has particularly extensive experience in the investment funds and fintech sectors. Jonathan started his career with seven years at Slaughter and May in the City, working on multi-jurisdictional corporate and commercial matters, before spending 11 years at the pioneering alternative asset manager, Aspect Capital, including a significant period as General Counsel. Jonathan then successfully scaled up to $60bn AUM a new fintech investment funds platform, The Asset Management Exchange. When in 2022 The AMX was sold to a leading fund management outsourced provider, Carne Group, Jonathan joined that business to lead its legal and compliance teams, subsequently working as General Counsel.
Experience
Relevant experience at Temple Bright and previous firms includes:
- Acquisition by Carne Group of GAM’s $51bn AUM Swiss and Luxembourg fund management business.
- Disposal by WTW of $60bn AUM a fintech institutional investment funds platform, the Asset Management Exchange, to Carne Group.
- Acquisition by Aspect Capital of the systematic global macro and currency investment manager, Auriel Capital Management; and the lift-out of investment management teams from other firms.
- Formation of regulated and unregulated investment funds in Luxembourg, Ireland, Cayman Islands and UK.
- Negotiation of fund platform and distribution arrangements in UK, EMEA and USA.
- Negotiation of segregated mandate investment management agreements and investment fund side letters with pension funds, sovereigns and insurance companies and other institutional investors.
- Negotiation of £3m IT outsourcing contract.
- Using legal design to upgrade a firm’s client contract templates for faster client onboarding.
- Drafting terms and conditions for an online marketplace and other web-purchased services.
- Establishing UK/China investment management joint venture.
- AIM listing of US oil and gas company.
- Acquisition of Pilkington Glass by Nippon Sheet Glass for £3.4 bn.
- Disposal of UK confectionary business.
- Purchase of Brunei-based oil and gas concession.
- Asset swap of Indian oil and gas concessions between two Indian and UK firms.
- Advising on corporate governance and risk, in particular operational risk and governance design.
