Nick handles Corporate matters. He has over 25 years of advisory experience for clients including regulated financial institutions, entrepreneurs, family investment offices, specialist private capital investors and private entities (including all types of partnerships). Nick advises clients on acquisitions and disposals, joint ventures, private capital investment, internal restructurings, shareholder agreements, strategic partnerships and general corporate compliance matters including director duties. He has significant experience in multiple business sectors including hospitality, asset management, media, life sciences and insurance. Nick has particular expertise in both the financial services sector, advising extensively on the transfer of commercial and consumer financing and broking businesses, and the real estate investment sector, frequently advising on the transfer of real estate assets held within corporate wrapper structures (including partnerships, unit trusts and special purpose vehicles) together with associated joint venture arrangements. Before joining Temple Bright at the start of 2025, Nick worked in the London corporate team at Ashurst for 24 years and was a partner for 16 years.
Experience
Relevant experience at Temple Bright and his previous firm includes:
- Advising one of the majority shareholders in a UK hospitality group in connection with (i) the £800m disposal of four London five star hotels; (ii) the demerger and restructuring of family hotel interests; and (iii) the disposal of various other hotel assets and ongoing investment matters.
- Advising the lead consortium investor in connection with negotiating joint venture arrangements, corporate acquisition and post-completion restructuring documentation relating to the £809m acquisition of an under construction prime office building in the City of London.
- Advising a UK entrepreneur on the sale of a major UK independent finance broker to a significant US financial institution and subsequently on the incorporation of a boutique private equity investment business and advising on seed/early stage investment in a portfolio of 14 technology and biotech companies.
- Advising a major high street banking institution on the multi-jurisdictional disposal of its offshore managed private banking and wealth management business comprising the transfer of client relationships and £21bn AUM in Switzerland, Singapore, Hong Kong, Monaco, the Middle East and the UK.
- Advising a major German bank in connection with the disposal of its UK real estate finance platform including employees and €5bn loan book to a combination of US bank and private equity consortium.
- Advising an Australian entity in connection with the multi-jurisdictional disposal of a global advertising media platform to a US trade purchaser.
- Advising a UK bank in connection with its acquisition of various asset and vehicle finance businesses.
